Terms of Use

1. Acceptance of these terms

These Terms of Use ("Terms") govern your use of the website at equiscape.ai and its tools, including the EBITDA & Valuation Calculator, the Job Estimator and the Growth Lab (together, the "Site"), operated by EquiScape Business Advisors ("EquiScape," "we," "us"). By using the Site you agree to these Terms and to our Privacy Notice. If you do not agree, do not use the Site.

2. No professional advice or client relationship

Content on the Site is for general information only. It is not financial, accounting, tax, legal, investment or valuation advice. Using the Site, submitting a form or running the calculator does not create an advisor-client, fiduciary or any other professional relationship. A client relationship exists only under a written engagement agreement signed by EquiScape.

3. Calculator disclaimer

The EBITDA & Valuation Calculator produces automated, preliminary estimates. You acknowledge that:

• It is an estimate, not a valuation. Results are not an appraisal, fairness opinion, certified valuation, quality-of-earnings review, audit or offer to buy or sell any business. Actual transaction values depend on buyer diligence, deal structure, market conditions and many factors the calculator does not consider.
• Results depend on your data. Figures are extracted automatically from the files you provide and from the values you enter or confirm. Extraction can misread line items. You are responsible for reviewing every figure before relying on the results.
• Industry multiples are generalized. Valuation ranges use broad assumptions about landscaping and service-industry multiples that may not reflect your company, region or current market.
• Do not rely on results for lending, tax, legal, investment, estate, divorce, partnership or transaction decisions without advice from a qualified professional.
• Reports generated by the calculator carry EquiScape branding for identification only. They are not prepared, reviewed or endorsed by EquiScape unless we confirm so in writing, and you may not present them to third parties as an EquiScape valuation.

Job Estimator

The Job Estimator is a planning tool. Its prices, margins and rates come entirely from the costs, wages, burden and markups you enter; starting markups are examples, not recommendations for your company. It does not account for your overhead, taxes, financing, scheduling or local market, and it is not accounting, tax or pricing advice. You are responsible for every price you quote. Customer quotes you create with it are your documents, not EquiScape's, and EquiScape is not a party to any contract between you and your customer.

Growth Lab

The Growth Lab tools are educational planning estimates. Results come entirely from the numbers you enter; example figures are illustrative, not industry benchmarks or recommendations for your company. They are not accounting, tax, pricing, lending or valuation advice, and the "What is it worth?" tool is not a valuation (the calculator terms above apply to it). Numbers you type stay in your browser and are not sent to EquiScape.

4. Information you submit

Financial files you select in the calculator are read inside your web browser and are not uploaded to our servers. The contact details you provide, together with a summary of the calculated results (such as revenue, EBITDA, valuation range and cash-flow metrics), are sent to EquiScape so we can follow up with you. Estimates you build in the Job Estimator stay in your browser unless you choose to send one to us with the "Send estimate to David" form. Our Privacy Notice explains how we use that information.

You represent that you are authorized to use and share any financial information you enter, and that the information you provide about yourself is accurate. You grant EquiScape permission to use submitted information to respond to you, provide requested services, and improve our tools.

5. Acceptable use

You agree not to: use the Site unlawfully; submit information you have no right to share; attempt to disrupt, probe or gain unauthorized access to the Site or its providers; scrape or copy Site content at scale; or misrepresent calculator output as a professional valuation.

6. Intellectual property

The Site, including the EquiScape name and logo, EquiStat, EquiFlex and EquiFlow, text, graphics and software, is owned by EquiScape or its licensors and protected by intellectual-property laws. You may view and print pages for personal, non-commercial use. No other license is granted.

7. Third-party links and services

The Site links to third-party websites, software partners and associations, and uses third-party services to deliver forms and payments. We do not control and are not responsible for their content, terms or privacy practices.

8. Disclaimers

THE SITE AND ALL CONTENT AND CALCULATOR RESULTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EQUISCAPE AND ITS OWNERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, VALUE OR DATA, ARISING FROM YOUR USE OF OR RELIANCE ON THE SITE OR CALCULATOR RESULTS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). You agree to indemnify EquiScape against claims arising from your misuse of the Site or breach of these Terms.

10. Governing law and changes

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Georgia. We may update these Terms by posting a revised version with a new "last updated" date. Continued use of the Site means you accept the changes.
